Terms of Service

These Terms of Service govern your use of ogamy.co, OgaChat, and the OGAMI client portal (together, the “Service”), operated by Farawa Media/PR Village Square Ltd. (“OGAMI”, “we”). By creating an account, subscribing, or otherwise using the Service, you agree to these terms.

1. The Service

OGAMI provides OgaChat, an AI-assisted customer engagement tool that answers enquiries and captures leads on your website and WhatsApp, alongside a client portal for reviewing conversations and managing your business profile. Plans and pricing are described at ogamy.co/#pricing.

2. Free Tier & Subscriptions

New accounts begin on the free tier. It does not expire and requires no payment card, and it is subject to the usage limits described at signup, including a monthly conversation cap. Paid tiers unlock further features and are billed monthly through Paystack in your local currency where available, alongside any one-time setup fee applicable to the tier. Fees are non-refundable except where required by law. We may change pricing for future billing periods with reasonable notice. You may downgrade at any time, effective at the end of the current billing period; data exceeding the limits of the lower tier is retained in read-only form rather than deleted.

3. Acceptable Use

You agree to use the Service only for lawful business purposes and in line with our Acceptable Use Policy, which is part of these terms. We may suspend or terminate access for use that violates it.

4. AI-Generated Content

OgaChat uses AI to generate replies to your customers. AI-generated responses may occasionally be inaccurate, incomplete, or not reflect your business exactly as intended. You are responsible for reviewing your business profile and instructions for accuracy, for monitoring conversations, and for taking over manually where a conversation requires it. OGAMI is not liable for decisions made or outcomes resulting from AI-generated conversations. See our Responsible AI page.

5. Your Content

You retain ownership of the business information, leads, and conversation data associated with your account. You grant OGAMI a license to process that data as needed to operate and improve the Service, in line with our Privacy Policy. You’re responsible for having the right to submit any content or data you provide to us.

6. Intellectual Property

OGAMI, OgaChat, and all associated branding, product design, and underlying technology are the property of Farawa Media/PR Village Square Ltd. Nothing in these terms transfers that ownership to you. You may not copy, reverse-engineer, or resell the Service without our written permission.

7. Service Availability

We work to keep the Service reliably available and monitor it accordingly, but we do not guarantee uninterrupted access. Scheduled maintenance and factors outside our control, including upstream providers such as Meta, Anthropic, Supabase, and Paystack, may occasionally affect availability.

8. Suspension & Termination

We may suspend or terminate your access if you breach these terms, misuse the Service, or fail to pay applicable fees. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

9. Limitation of Liability

To the fullest extent permitted by law, OGAMI is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including lost revenue or lost customers. Our total liability for any claim relating to the Service is limited to the fees you paid us in the three months preceding the claim.

10. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria, a common law jurisdiction, without regard to conflict-of-law principles. Any dispute arising from these terms will be subject to the exclusive jurisdiction of the Nigerian courts.

11. Changes to These Terms

We may update these terms as the Service evolves. We’ll update the date at the top of this page when we do, and material changes will be communicated to active subscribers.
